On December 9, 2021 Karnov Group announces the presentation of a binding offer to acquire the entire share capital and political rights of Wolters Kluwer France SAS ("Wolters Kluwer France"), Wolters Kluwer Legal & Regulatory España, SA ("Wolters Kluwer Kluwer Spain"), Wolters Kluwer Portugal, Editorial Aranzadi SAU ("Thomson Reuters Spain") and all its subsidiaries, as well as the assignment of certain intellectual property rights[1], for an effective consideration of approximately 160 million euros, without the need to resort to debt. The acquisition contract was confirmed on February 25, 2022 and Karnov Group received authorization from the Spanish National Commission for Markets and Competition (CNMC) to complete the acquisition on November 3, 2022.
The acquisition that has turned the Karnov Group into a European player with a presence in the Spanish and French markets. The acquired entities represent well-known brands within the segments of information and legal reference, workflow and analytics, and training spaces in Spain and France. Karnov Group operates under the Aranzadi LA LEY brand in Spain, Lamy Liaisons in France and Jusnet in Portugal.
