INTERNATIONAL ADMINISTRATIVE AGREEMENT BETWEEN THE MINISTRY OF FOREIGN AFFAIRS, THE EUROPEAN UNION AND THE COOPERATION OF THE KINGDOM OF SPAIN AND THE UNITED NATIONS CHILDREN'S FUND (UNICEF) REGARDING THE FINANCING OF THE INSTALLATION AND OPERATION OF THE TECHNOLOGICAL CENTER OF THE GIGA INITIATIVE IN BARCELONA

AGREE

On the one hand, speaking on behalf of the Ministry of Foreign Affairs, European Union and Cooperation of the Kingdom of Spain were Ángeles Moreno Bau, Secretary of State for Foreign and Global Affairs;

On the other hand, speaking on behalf of the United Nations Children's Fund, UNICEF, were Hannan Sulieman, Deputy Executive Director of Management;

Both parties recognize the legal capacity to sign this International Administrative Agreement.

CONSIDERING

First. That GIGA is the digital inclusion initiative of Nacional Unidas. The initiative was initiated by the United Nations Organization (UN) through the United Nations Children's Fund (UNICEF) and the International Telecommunication Union (ITU), as such was reflected in the Memorandum of Understanding between UNICEF and ITU regarding their cooperation regarding the GIGA initiative of March 15, 2021.

Second. That the Government of Spain, through the Ministry of Foreign Affairs, European Union and Cooperation; the Generalitat de Catalunya and the Barcelona City Council (the Administrations) have agreed to support this initiative by collaborating in the financing of the installation and operations of the GIGA Technology Center in Barcelona, ​​Spain (the Giga Technology Center).

Third. That, for the purposes of specifying this collaboration, the Administrations have entered into an inter-administrative collaboration agreement (Inter-administrative Agreement) on March 8, 2023, in which they determine the financial and in-kind contribution of each of them to finance the installation and the function of the Giga Technology Center.

Room. That, on the one hand, the Ministry of Foreign Affairs, European Union and Cooperation of the Kingdom of Spain and, on the other, the United Nations Children's Fund (UNICEF), agree to enter into an International Administrative Agreement, through which the Ministry of Foreign Affairs, European Union and Cooperation transfers to UNICEF the terms of the collaboration agreed by the three Administrations acting in the Inter-administrative Agreement dated March 8, 2023.

Fifth. That this International Administrative Agreement is executed in accordance with the Framework Agreement signed by the Kingdom of Spain and UNICEF on February 25, 2004 (article 1.4), which provides for the signing of complementary cooperation agreements on all issues related to the promotion and protection of children's rights.

Sixth. That through the Exchange of Notes signed between the Kingdom of Spain and UNICEF on September 9, 2022, the parties express their intention to facilitate the implementation of UNICEF activities in Spain in relation to the Giga initiative, a joint initiative between UNICEF and ITU; and, pending finalization of the appropriate Headquarters Agreement between the Kingdom of Spain and UNICEF, Spain has confirmed that the privileges and immunities set forth in the United Nations Convention on Privileges and Immunities (the General Convention), to which Spain is a party since July 31, 1974, request to UNICEF, its assets, files, premises and members of its staff in Spain to perform functions related to the Giga initiative.

seventh. That the parties agree to sign this International Administrative Agreement, in accordance with the following

CLAUSES

Article 1 Purpose of the International Administrative Agreement

The purpose of this International Administrative Agreement is to formalize with UNICEF the commitments agreed by the three Administrations of the Kingdom of Spain regarding the installation and financing of the Giga Technology Center, as established in the Inter-administrative Agreement.

Article 2 Economic contributions and cash

2.1 The aforementioned Inter-administrative Agreement establishes that the Government of Spain, through the Ministry of Foreign Affairs, the European Union and Cooperation, the Generalitat de Catalunya and the Barcelona City Council will collaborate in the installation and financing of the Giga Technology Center with the contributions which are listed below. UNICEF enters into a separate agreement with the Generalitat de Catalunya and Barcelona City Council for the transfer of their respective contributions.

2.2 The Ministry of Foreign Affairs, European Union and Cooperation, through the Secretary of State for Foreign and Global Affairs, made an economic contribution to the promoters of the Giga initiative –UNICEF and ITU– for the implementation of the Giga initiative for imports of €6.500.000, charged to budgeted item 12.04.142A.499.00; and in accordance with what is indicated in article 3.

2.3 The Generalitat de Catalunya will provide a total contribution of 6.500.000 euros to the promoters of the Giga initiative –UNICEF and ITU– for the function of the Giga initiative, broken down as follows:

  • a) An economic contribution of 3.250.000 euros charged to chapter IV, budget item D/4820001/2320 of the Catalan Agency for Development Cooperation; there
  • b) An economic contribution of 3.250.000 euros charged to Chapter VII, budget item D/7820001/2320 of the Catalan Agency for Development Cooperation.

2.4 Barcelona City Council made a total contribution of 4.500.000 euros to the promoters of the Giga initiative –UNICEF and ITU– for the implementation of the Giga initiative, broken down as follows:

  • a) an economic transportation amounting to 4.375.000 euros charged to the budgeted item 0300/49006/92011; there
  • b) a cash contribution valued at 125.000 euros in the form of space inside the building called Ca l'Alier for the location of the Giga Technology Center, under the conditions acquired in the bilateral agreement between Barcelona City Council and UNICEF.

Article 3 Contribution of the Ministry of Foreign Affairs, European Union and Cooperation

3.1 The Ministry of Foreign Affairs, European Union and Cooperation, through the Secretary of State for Foreign and Global Affairs, made a transfer to UNICEF and ITU for the implementation of the Giga initiative for the amount of 2.500.000 euros, with charge to the budgeted item 12.04.142A.499.00.

The Secretary of State advanced a first contribution of 4.000.000 euros to UNICEF for the development of the GIGA Initiative with Spain, agreed in the Council of Ministers on December 17, 2021. Therefore, the total contribution of the Ministry of Foreign Affairs, European Union and cooperation will be 6.500.000 euros.

3.2 These imports include 8% indirect costs, calculated in accordance with the current methodology in accordance with the decisions of the UNICEF Executive Board on cost recovery.

3.3 Contribution will be transferred through bank transfer to UNICEF, to the account:

Article 4 Obligations of UNICEF

4.1 UNICEF will allocate the contributions of the aforementioned parties to finance the operation of the Giga Technology Center and the promotion of its activities.

4.2 UNICEF will make the corresponding transfer to ITU under a transfer agreement between two United Nations entities, and in accordance with the program agreed between ITU and UNICEF in relation to the Giga initiative.

4.3 UNICEF submits a descriptive report during the first quarter of August 2019, indicating the actions carried out in Cabo and the results obtained; and later, on June 30 of the following year, an annual financial statement certified by the UNICEF Controller.

Article 5 Validity

This agreement will enter into force at the time of signing by both parties and will remain in force for three years from the date of execution.
